The new form of sale 2012 is generally considered an improvement over the 1993 form and wide use is expected. It provides useful clarifications and additional provisions that bring the form into line with general business practices. The De Saleform 1993 form was and remains a favorable contract for sellers in the 2012 sales form. A full contractual clause has been inserted, which means that previous agreements (orally or in writing) between the parties no longer have effect, since they have been replaced by the signed MOA. This will avoid disputes over agreements allegedly concluded orally during negotiations and prevent buyers from making false claims. Article 8 has been amended to include a longer list of necessary documents in the form of delivery documents. The more complete list is an improvement, but it is not exhaustive of all the documents that may be required for the sale of a ship. The parties would be well advised to consider a further amendment to the standard text in order to clarify certain issues and the documents necessary for the transfer of this vessel. NOR must still be delivered if the ship "is at the place of delivery and is physically ready for delivery under this Agreement". However, the known phrase "in all respects" appears to have been deleted to clarify that minor defects do not allow buyers to refuse the vessel under the MOA.
